Corporate Governance
TomTom takes its commitments to all stakeholders seriously - consumers, shareholders, employees and business partners. In all of our corporate transactions our aim is maximum transparency and accountability.
Our Management Board and Supervisory Board have made every effort to comply with the guidelines laid down by the Tabaksblat Committee and specifically the Dutch Corporate Governance Code as issued on 9 December 2003 (the Code). We apply all the relevant provision of the code with certain deviation, which together with the reasons for those deviations, are set in our Annual Report.
On 10 December 2008 an amended Corporate Governance Code (the New Code) was published. The New Code came into force on or after 1 January 2009. The Monitoring Committee Corporate Governance recommends that listed companies present their corporate governance structure and compliance with the new code to the general meeting in 2010 for discussion. Therefore, the Annual Report 2009 does not reflect particular issues addressed in the New Code, but is based on the Code.
